Terms of Service

These Terms of Service ("Terms") govern your use of the Enterprise Value Index™ assessment, website, and related services (collectively, the "Services") provided by Behavioral Blueprints LLC ("we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Nature of the Services

The Enterprise Value Index ("EVI") is a proprietary self-assessment instrument that generates an estimated indicator of transaction position based on self-reported data across 10 dimensions. The EVI is not:

• A business valuation, formal appraisal, or opinion of enterprise value
• A fairness opinion or investment recommendation
• A securities offering or solicitation
• Financial, legal, or tax advice
• Broker-dealer activity

Actual transaction valuations are determined by qualified buyers in arm's-length processes. You should engage qualified legal, tax, financial, and regulatory advisors before making transaction decisions.

2. Advisory Services Disclaimer

Behavioral Blueprints LLC provides business advisory and transaction position consulting services only. We are not a licensed broker-dealer, registered investment adviser, or securities dealer. We operate as a finder and business advisory firm. We do not negotiate deal terms, execute purchase agreements, accept or transmit transaction proceeds, or provide securities-related services.

3. Eligibility

The Services are intended for business professionals aged 18 and older. By using the Services, you represent that you are at least 18 years old and have the authority to agree to these Terms.

4. Account Registration

To save your score and access certain features, you must create an account by providing a valid email address. You are responsible for maintaining the confidentiality of your account and for all activities that occur under it. Notify us immediately of any unauthorized use.

5. Accuracy of Information

You agree to provide accurate, current, and complete information when using the assessment. Scores are generated based on the data you provide. Scores derived from self-reported data have not been independently verified or audited. The accuracy and usefulness of your score depends on the accuracy of your inputs.

6. Confidentiality

All assessment information you provide is treated as strictly confidential. Your data will not be shared with buyers, investors, or any third party without your express prior written consent. Our scoring methodology is proprietary and confidential.

7. Intellectual Property

The Enterprise Value Index, its scoring methodology, dimensional framework, algorithms, and all related content, designs, and materials are the proprietary intellectual property of Behavioral Blueprints LLC. You may not:

• Reverse-engineer, decompile, or attempt to extract the scoring algorithm
• Copy, modify, or create derivative works based on the Services
• Use the EVI name, trademarks, or methodology without written permission
• Scrape, crawl, or systematically access the Services by automated means

8. Referrals

We may refer you to vetted partners for working capital analysis, quality of earnings, or related services. Referral compensation may apply. Any such referral is disclosed and does not affect the independence of your EVI score.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Behavioral Blueprints LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of or inability to use the Services, or any decisions made based on EVI scores or related information.

In no event shall our total liability exceed the amount you paid us, if any, in the twelve (12) months prior to the claim.

10. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

11. Indemnification

You agree to indemnify and hold harmless Behavioral Blueprints LLC from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

12. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the revised Terms with an updated effective date. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.

13. Termination

We may suspend or terminate your access to the Services at our discretion, without notice, for conduct that violates these Terms or is harmful to other users or our business interests.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict-of-law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Arizona. You agree to waive any right to a jury trial or to participate in a class action.
